General Conditions for Electronic Invoicing Provision

These General Conditions will govern the contractual relationship between Onyx CenterSource Spain, S.A.(hereafter, ONYX), based on INSUR Bldg. Diego Martínez Barrio 10, 5th floor. 41013 Seville, Spain, and ONYX Electronic Invoicing Service Customers (the Customer). The Customer, accessing any displayed invoice available in this system, expressly accepts, without any reservation, these General Conditions.

 

FIRST- SCOPE

The purpose of these General Conditions is to facilitate the provision of E-Invoicing service to ONYX Customers in general, and specially, to those Customers that outsource their invoicing needs through ONYX Services.

 

SECOND- DESCRIPTION OF SERVICE

2.1. The Customer can voluntarily accept the supply of invoices in Electronic format. ONYX may supply this service through third parties. The Customer can communicate, at any moment, to ONYX, his preference to receive the invoices in paper.

2.2 The invoices issued by ONYX, in its own name, or in the name or on behalf of the Customer, will be available in this page in PDF format. The Customer shall visualize them in the same format as invoices that would have been sent in paper.

2.3 This service allows, in addition to the visualisation on screen of the invoice image together with its details, its download in the Customer’s computer. In order to assert the authenticity of the origin and the integrity of the content, and according to the applicable legislation the e-invoice uses an electronic signature system.

ONYX, as issuer of their invoices, observes the regulation in force concerning data storage, accessibility, and conservation of the invoices during the Statute of Limitation of Liabilities.

In the case of ONYX Invoices, as in the case of invoices created on behalf of customers, all invoices shall be available via Web during a period of fifteen months from its date of issue.

2.4 In any case, the Customer shall be responsible for informing ONYX of any change and/or modification to the email address where he wishes to receive notices in relation to the Electronic Invoicing service. The non-receipt of this notice by the Customer, either due to email address error or to any other cause, will not imply a rejection of ONYX Electronic Invoicing service once used by the Customer unless a cancellation request has been entered by him.

 

THIRD- TERMS

3.1 It is understood that the Customer, from the date an electronic invoice is opened by himself from this page, expressly gives his consent to access and use ONYX Electronic Invoicing service. From here on, the Customer accepts and agrees fully to these General Conditions.

 

FOURTH- ONYX OBLIGATIONS

4.1 ONYX assumes the following obligations related to the Electronic Invoicing service:

4.1.a) The existence of an authentication process whenever a Customer accesses ONYX Network, by means of validation of his login and password, unique and exclusive to each Customer, and communicated through a confidential channel.

4.1.b) Moreover, the Customer may modify the invoices’ information for which he is responsible, through a request to ONYX.

 

FIFTH- CUSTOMER OBLIGATIONS

5.1. The Customer assumes the following obligations when starting to use the ONYX Electronic Invoicing service:

5.1.a) To Supply accurate and correct information to be included in the invoices.

5.1.b) To communicate promptly any changes in the foregoing data.

 

SIXTH- LIABILITIES

6.1. In any case, the Customer guarantees and assumes responsibility on the veracity, accuracy, validity and authenticity of data supplied.

6.2. Notwithstanding the foregoing, in the case of an existing invoicing outsourcing agreement between the Customer and ONYX, the Customer shall be responsible of the fulfilment of any other requirement established in the applicable regulation, according to the article 5.1 of Invoicing Obligations Regulations, R.D. 1619/2012, of November 30th, and to the European Directive 2010/45/CE, of the Council of July13th.

However, ONYX shall be fully responsible for ensuring that each Electronic Invoice fully and accurately reflects the information provided by the Customer for its inclusion.
